Affiliate Program: Operating Agreement

This agreement contains the complete terms and conditions that apply to an individual's or entity's participation in the Dukandar.com Affiliate Program.

Enrollment in the Affiliate Program
To begin the enrollment process, you will submit a complete Affiliate Program application to Dukandar.com. We will evaluate your application in good faith and will notify you of your acceptance or rejection in a timely manner.

Links on Your Site
Provided your application is approved, we will email you banners, buttons, icons (with embedded links to our website) & text links to display on your website or to forward via email to friends and family.

You will only earn commissions with respect to activity on our site occurring directly through the links we provide you with.

Our Responsibilities
We shall have the sole right and responsibility for processing all orders made by customers. We will prepare order forms; process payments, cancellations, and returns; and handle customer service.

Commissions
We agree to pay you a commission, at the rate offered to you at the acceptance of your application, on net sales to customers who access our site and purchase merchandise via the link or banner provided by us to you. For purposes of this agreement, "net sales" shall mean the amount invoiced to the customer minus shipping and handling charges, discounts, taxes, & duties. No commission will be available in the case of order cancellations.

We will not pay commissions on merchandise ordered directly from Dukandar.com (instead of through the link or banner forwarded to you), even if the customer previously followed a link from your site to Dukandar.com.

We will pay you commissions on the net sales amount (defined above) after and not before your commission totals US $25. We will pay your commissions by check (to the address provided by you when submitting the affiliate program application form) which will be mailed at our expense regardless of the shipping destination.

Restrictions
a) This program is intended for commercial use only, and you may not purchase merchandise through the program for your own use.

b) Spam.
You shall not use Dukandar.com content in a manner that would constitute as spam. Links or banners forwarded via emails should only be forwarded to friends / family or people who would at least recognize you.

c) Look and Feel.
You shall not in any way copy or resemble the "look and feel" of the Dukandar.com site, nor create the impression that your site is the Dukandar.com site or a part of the Dukandar.com site.

If we determine, in our sole discretion, that you have engaged in any of the activities cited above, we may withhold any referral fees otherwise payable to you under this Agreement and/or terminate this Agreement.

Policies and Pricing
Customers who buy products through this program will be deemed to be customers of Dukandar.com. Accordingly, all Dukandar.com rules, policies, and operating procedures concerning customer orders, customer service, and product sales will apply to those customers.

Term of the Agreement
The term of this agreement will begin upon our acceptance of your program application and will end when terminated by either party. Either you or we may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this agreement for any reason, you will immediately cease use of, and remove from your site, all links to our site, and all Dukandar.com trademarks and logos, and all other materials provided by or on behalf of us to you in connection with the program.

Modification
We may modify any of the terms and conditions contained in this agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our site.

Relationship of Parties
You and we are independent contractors, and nothing in this agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section.
